Terms of Service

These Terms of Service ("Terms") govern your access to and use of TaxAI, a software service operated by TAXAIONICS SOLUTIONS LTD. ("we", "us", "our"), a company incorporated in British Columbia, Canada. By accessing or using TaxAI, you agree to be bound by these Terms.

1. Service Description

TaxAI is a subscription-based software service that helps users organize financial transaction data and generate accountant-friendly working papers and exports. TaxAI does not provide legal, tax, or accounting advice. All outputs are for organizational reference only and should be reviewed by a qualified professional before use in any official filing.

2. Account and Access

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Each subscription is for use by the subscriber only. Account sharing, reselling, or sublicensing is prohibited.

3. Subscriptions and Billing

Paid plans are billed automatically on a recurring basis (monthly or yearly) through Stripe, our payment processor. You may cancel at any time, and your plan will remain active until the end of the current billing period. No partial refunds will be issued for unused time within a billing period, except as described in our Refund Policy. We reserve the right to change pricing with reasonable notice.

4. Intellectual Property

All rights, title, and interest in and to TaxAI, including but not limited to the software, source code, algorithms, user interface design, visual layout, icons, graphics, text content, documentation, trade names, trademarks (including TAXAI™), and all related intellectual property, are and remain the exclusive property of TAXAIONICS SOLUTIONS LTD. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the service as described herein.

5. Prohibited Conduct

You agree not to:

  • Copy, reproduce, distribute, or create derivative works of any part of TaxAI
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, algorithms, or underlying logic of TaxAI
  • Scrape, crawl, mirror, or systematically extract data or content from TaxAI
  • Use TaxAI to build a competing product or service
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Share, resell, sublicense, or transfer your account or subscription to any third party
  • Use automated tools (bots, scripts) to access TaxAI without prior written consent
  • Use TaxAI for any unlawful purpose or in violation of any applicable laws

6. Your Data

You retain all ownership rights to the data you upload to TaxAI (such as transaction files, receipts, and financial records). We do not claim ownership of your data. By using TaxAI, you grant us a limited license to process your data solely for the purpose of providing the service to you. We will not sell, share, or use your data for any purpose other than delivering the service, except as described in our Privacy Policy.

7. Our Property

All outputs generated by TaxAI (including working papers, summaries, reports, categorized data, and export files) are generated using our proprietary software, templates, categorization rules, and algorithms. While you may use these outputs for your personal or business purposes, the underlying software, methods, templates, and systems used to generate them remain our exclusive property. You may not extract, replicate, or reverse-engineer our categorization logic, tax mapping rules, or processing methods from the outputs.

8. Disclaimer of Warranties

TaxAI is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, TAXAIONICS SOLUTIONS LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of TaxAI. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to TaxAI at any time if you violate these Terms, without prior notice and without liability. Upon termination, your right to use the service ceases immediately. Sections 4, 5, 7, 8, 9, 11, and 12 shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the service. Your continued use of TaxAI after such changes constitutes acceptance of the updated Terms.
